Terms of Service

Welcome to TranscriptYT. These Terms of Service ("Terms") govern your access to and use of the TranscriptYT website, API, and related services (collectively, the "Service") provided by TranscriptYT ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

To use our Service, you must be at least 13 years of age. By using the Service, you represent and warrant that you meet this age requirement.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of our Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

3. API Access and Usage

3.1 API Keys

Upon registration for a paid plan, you will receive API keys to access our Service. You are responsible for:

  • Keeping your API keys confidential and secure
  • All usage that occurs using your API keys
  • Immediately rotating or revoking compromised keys
  • Not sharing, selling, or transferring your API keys to third parties

3.2 Rate Limits

Your use of the API is subject to rate limits based on your subscription plan. We provide rate limit information in API response headers. You agree to:

  • Respect the rate limits associated with your plan
  • Implement appropriate backoff strategies when rate limited
  • Not attempt to circumvent or bypass rate limiting mechanisms

3.3 Fair Use

We reserve the right to throttle, suspend, or terminate access to accounts that exhibit unusual usage patterns, abuse the Service, or negatively impact the experience of other users.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may NOT:

4.1 Prohibited Activities

  • Violate any applicable local, provincial, national, or international law or regulation
  • Infringe upon the intellectual property rights of others
  • Use the Service to harass, abuse, or harm others
  • Transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated means to access the Service in a manner that exceeds reasonable request volumes
  • Resell, sublicense, or redistribute the Service without our written consent

4.2 Content Restrictions

You agree not to use the Service to access or process transcripts for purposes that:

  • Violate YouTube's Terms of Service or Community Guidelines
  • Infringe on content creators' rights
  • Generate spam, misleading content, or misinformation
  • Train AI models in violation of applicable laws or platform terms
  • Create competing transcript services using our infrastructure

4.3 Compliance

You are solely responsible for ensuring your use of the Service complies with all applicable laws and third-party terms of service, including YouTube's Terms of Service.

5. Subscription and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Details of each plan are available on our pricing page.

5.2 Payment Terms

  • All fees are charged in advance on a monthly or annual basis
  • Payments are processed securely through Stripe
  • You authorize us to charge your payment method for all fees incurred
  • All fees are exclusive of applicable taxes, which will be added where required

5.3 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5.4 Refund Policy

All sales are final. We do not offer refunds for subscription fees. Due to the digital nature of our Service and the immediate access provided upon payment, all purchases are non-refundable.

If you believe you have been charged in error, please contact us at support@transcriptyt.com within 7 days of the charge.

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will not be charged for subsequent billing periods
  • No partial refunds will be issued for unused time
  • API access will be revoked at the end of the billing period

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by TranscriptYT and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

6.2 Your Content

You retain ownership of any content you submit through the Service. By using the Service, you grant us a limited license to process your requests as necessary to provide the Service.

6.3 Transcript Content

Transcripts accessed through our Service are derived from YouTube content. The intellectual property rights to such content belong to the respective content creators and/or YouTube. You are responsible for ensuring your use of transcript content complies with applicable copyright laws and YouTube's Terms of Service.

7. Service Availability and Modifications

7.1 Service Availability

We strive to maintain high availability of our Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control
  • Third-party service outages (including YouTube)

7.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that significantly affect your use of the Service.

7.3 API Versioning

We maintain stable API contracts within major versions. When breaking changes are necessary, we will provide advance notice and maintain deprecated versions for a reasonable transition period.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of transcript content
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the results obtained from using the Service

Transcript accuracy depends on the source content and may contain errors. You are responsible for verifying the accuracy of any transcript content before relying on it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCRIPTYT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Business interruption
  • Any other intangible losses

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless TranscriptYT and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any content you access, process, or distribute using the Service

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings.

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • Your use poses a security risk to the Service or other users
  • We are required to do so by law
  • Your account has been inactive for an extended period

11.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service will immediately cease
  • Your API keys will be revoked
  • We may delete your account data in accordance with our Privacy Policy
  • Sections of these Terms that by their nature should survive termination will survive

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles.

12.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the courts of Ontario, Canada.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date at the top
  • Sending an email notification for material changes

Your continued use of the Service after any changes indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TranscriptYT regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or infrastructure failures.
